Terms of Service
Last updated: 28 October 2026
These terms apply to your use of openraise.com and the OpenRaise platform, provided by OpenRaise Pty Ltd (ABN 86 702 106 947) ("OpenRaise", "we", "us"). By using the site or platform you agree to these terms. If you use the platform for a firm or company, you confirm you are authorised to bind it. Where your firm has a separate written agreement with us, that agreement applies if it conflicts with these terms.
About OpenRaise
- OpenRaise Pty Ltd does not hold an Australian Financial Services Licence. OpenRaise is a technology platform only.
- OpenRaise does not provide financial product advice, deal in or arrange financial products, or facilitate, execute or settle securities transactions. Nothing on the site or platform is an offer of securities or an invitation to apply for them.
- The platform prepares drafts and models, such as deal documents, investor matches and allocation scenarios, for users to review. Users decide what is used. Issuers review and lodge their own documents through their usual ASX process.
- You remain responsible for your own legal and regulatory obligations.
Accounts
You must give accurate information, keep your login details secure and tell us promptly about any unauthorised use. You are responsible for activity under your account. Firms are responsible for the users they invite and the access they grant.
Acceptable use
You must not:
- use the platform unlawfully, including in breach of insider trading, market disclosure or privacy laws;
- upload information you do not have the right to share, or sensitive information;
- try to access another firm's data or another user's account;
- probe, scan or test the platform for vulnerabilities, or try to bypass its security;
- copy, scrape, reverse engineer or resell the platform;
- upload malicious code or interfere with the platform's operation.
We may suspend access to protect the platform or its users.
Your data
You, or your firm, keep ownership of the content you upload. You allow us to host, process and display it as needed to provide and support the platform. We keep it confidential, keep each firm's data separate, and handle personal information under our Privacy Policy.
AI-prepared drafts
Drafts, investor matches and allocation models are prepared automatically and may be incomplete or wrong. They are not advice of any kind. You must review every output before using or relying on it.
Our platform
We own the platform, its software, design and brand. We give you a non-exclusive, non-transferable right to use it for your firm's internal business while you have access. We may use any feedback you give us without obligation to you.
Availability and changes
The platform is in early development. Features may change, be added or be removed, and we do not guarantee the platform will be uninterrupted or error-free.
Liability
Nothing in these terms excludes rights under the Australian Consumer Law that cannot be excluded. Subject to that, and to the extent permitted by law:
- the platform is provided as is;
- we are not liable for indirect or consequential loss, loss of profit, data or opportunity, or for decisions made using platform outputs;
- our total liability is limited to the fees you paid us in the 12 months before the claim, or AUD 100 if you paid none.
Suspension and termination
We may suspend or end your access if you breach these terms or to protect the platform. You can stop using the platform at any time. After access ends, you can ask for an export of your firm's data within 30 days; after that we may delete it, subject to the law.
Changes to these terms
We may update these terms. The date at the top shows when they last changed, and we will notify account holders of material changes. Continued use after a change means you accept it.
Governing law
These terms are governed by the laws of New South Wales, Australia, and the courts of New South Wales have jurisdiction.
